Your Agreement

Your Consent to the Terms
— With respect to your ability to agree and consent to the Terms, you represent and warrant the following:
And furthermore, by engaging in any activity at, by, for, in, on behalf of, with or otherwise pertaining to The Ikoku Philanthropies, any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of The Ikoku Philanthropies, any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of the divisions, series, subsidiaries, or affiliates, as well as any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of the Products or Services, you accept and agree that your consent meets the conditions, principles, and requirements for consent, as delineated and described in a the Codes and Policies — for the specific purpose of consenting to this Policy, the Agreement and the Codes and Policies.
Your Abiding by Terms and Policies
— You represent, warrant, and covenant that, given the above attestation about your consent to the Terms, you have read, understood, consented to, and agreed to be legally bound by and abide by the Terms and the Codes and Policies, in their entirety without modification, including as they are amended from time to time by The Ikoku Philanthropies.
Your Accordance with Ethics
— You represent, warrant, and covenant that, given the above attestation about your consent to this Policy, you ensure that your abiding by and adhering to its conditions, policies, principles, requirements, and rights shall further remain in accordance with the Founding and Governing Code of Ethics.
Your Accordance with Mission
— You represent, warrant, and covenant that, given the above attestation about your consent to this Policy, you ensure that your abiding by and adhering to its conditions, policies, principles, requirements, and rights shall further remain in accordance with the founding mission and purposes of The Ikoku Philanthropies and The Ikoku Group, without incompatibility, as described and delineated in the Codes and Policies and the Founder’s Agreement.

Your Knowledge and Acceptance
The Ikoku Philanthropies strongly recommends you develop and maintain your knowledge of all the Codes and Policies, and so asks that you read, understand, and regularly visit this section and other communications regarding the Terms and Conditions, as well as the Codes and Policies. The Ikoku Philanthropies takes your continued access, activity, communication, engagement, operation, participation, and other use or visiting of the Products and Services, as active indication of your knowledge, understanding, and legally binding acceptance of and agreement to this Policy as well as the Codes and Policies.
Your Duty to Organizational Integrity
And you further legally accept and agree that no application, interpretation, judgment, or other compliance, proceeding, or reading from, of, with, or otherwise relating to the Founding Ethics, the Codes and Policies, or any equivalent code, policy, or other document or material shall, in any way, entail any abrogation, diminishment, interference, or violation pertaining to any of the terms, conditions, principles, requirements, rights — including the attendant properties and protections — of company and organizational integrity.

Scope of Your Use

Fees for Your Use
— The Ikoku Philanthropies reserves the right at any time to charge fees for access to parts or sections of the Products and Services or the Products and Services as a whole, and as such you agree to all of the following:

Your Registration and Account Creation

Communications to You
— After your registration on or with the Products or Services, you may be provided with electronic communications that the Products or Services will publish from time to time. These communications describe the work of The Ikoku Philanthropies. Where applicable, they also provide users the opportunity to opt out of receiving future automated communications, and if you do wish to opt out, you will be able to easily do so by following instructions located in the communication you receive.
Your User Data and Information
— The Ikoku Philanthropies and The Ikoku Group are the sole owners of the User Data and Information collected via the Products and Services, including but not limited to data and information entered by you on the Products or Services. The Ikoku Philanthropies will not circulate, distribute, exchange, lease, rent, sell, share or otherwise disclose the User Data and Information to others outside of The Ikoku Philanthropies and The Ikoku Group, except as described in the Terms and in the Codes and Polices. The Ikoku Philanthropies will attempt to collect and store the User Data and Information in a manner to protect their confidentiality, privacy and security, recognizing that no transmission of data or information is entirely secure. Please see, among several pertinent Codes and Policies, the Policy on Data and Information for more on such rights and responsibilities.
— The Ikoku Philanthropies, its offices and the Products and Services are headquartered and primarily operated in the United States. If you are located outside the US, please be aware that any User Data and Information you provide to us may be transferred to the United States, which may not provide the same level of protections as those in your own country — though The Ikoku Philanthropies does guarantee compliance with specific international data-handling policies (such as the European Union’s GDPR). By using the Products and Services, you consent to this transfer, retention and processing of your information in the United States.
Your User Content and Feedback
— The Ikoku Philanthropies welcomes your User Content and Feedback (as defined in the Policy on Intellectual Property and the Codes and Policies) and hopes to use them to support, improve and pursue its mission, purposes and work. You agree, therefore, that you will not supply User Content or Feedback that infringes or violates the rights of others, and you hereby grant a License to The Ikoku Philanthropies (as also defined in the Policy on Intellectual Property) in your User Content and Feedback.
— You agree that The Ikoku Philanthropies and the Founder and Owner, Alvan Azinna Chibuzo Ikoku, have no obligation to pay you or anyone else for your User Content or Feedback or for this License to The Ikoku Philanthropies. And the License to The Ikoku Philanthropies is in addition to any (if any) that you may be required to provide under any separate written agreement between The Ikoku Philanthropies and you (including contributor or volunteer arrangements or other agreements).
Philanthropic Arrangements
— Notwithstanding any provisions of this Policy, other Codes and Policies, or any other official or governance documents of The Ikoku Philanthropies, or applicable state, federal or international law or agreement, only the Founder, Alvan Azinna Chibuzo Ikoku shall approve and authorize, in rare instances and by express and written instrument signed and sealed, the engagement of any offices, official persons, activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of The Ikoku Philanthropies, including its series, subsidiaries, and affiliates, the Products and Services, in any charitable or other philanthropic arrangement. Where such approval, review and authorization is granted, all of the following shall apply:
And furthermore, by engaging in any activity at, by, for, in, on behalf of, with or otherwise pertaining to The Ikoku Philanthropies, any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of The Ikoku Philanthropies, any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of the divisions, series, subsidiaries, or affiliates, as well as any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of the Products or Services, you accept and agree that your consent meets the conditions, principles, and requirements for consent as delineated and described in these Codes and Policies.

— The Ikoku Philanthropies thus encourages visitors and users to be aware when they leave the Products and Services, and to read the confidentiality, privacy, security and other data-related policies and statements of each and every website that go to and especially those that collects personally identifiable information. Disclaimers and Limitation of Liability
— With respect to the limitation of liability of The Ikoku Philanthropies, of the Founder and Owner, Alvan Azinna Chibuzo Ikoku, and of its persons listed below, you accept and agree to the following:
— And furthermore, by engaging in any activity at, by, for, in, on behalf of, with or otherwise pertaining to The Ikoku Philanthropies, any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of The Ikoku Philanthropies, any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of the divisions, series, subsidiaries, or affiliates, as well as any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of the Products or Services, you understand, accept and agree that you may be waiving rights with respect to claims that are at this time unknown or unsuspected, and in accordance with such waiver, you acknowledge that you have read and understand, and hereby expressly waive, the benefits of Section 1542 of the Civil Code of California, and any similar law of any state or territory, which provides as follows:
— You hereby waive any and all rights you have or may have under California Civil Code Section 1542, and/or any similar provision of law or successor statute to it, with respect to any claims you may have in connection with the Products and Services, or the Terms and the Codes and Policies. In connection with this waiver and release, you acknowledge that you are aware that you may hereafter discover claims presently unknown or unsuspected, or facts in addition to or different from those which you now know or believe to be true. Nevertheless, you intend by these Terms to release fully, finally and forever all such matters under these Terms. In furtherance of such intention, the releases set forth in these Terms shall be and shall remain in effect as full and complete releases notwithstanding the discovery or existence of any such additional or different claims or facts relevant hereto.
Indemnification
— With respect to indemnification, you agree, at your own expense, to indemnify, defend, and hold harmless The Ikoku Philanthropies, the Founder and Owner, Alvan Azinna Chibuzo Ikoku, its directors, managers, officers, employees, representatives, contractors, volunteers, partners, third parties, agents, successors, and assigns from and against any and all damages, liability, losses and costs of every nature incurred by any of them in connection with any claims, damages, harms, injuries, losses or equivalent related to or arising out of your activity, communication, or other use pertaining to the Products and Services, including but not limited to the following:

Nature of Relationship
— With respect to the nature of your relationship with The Ikoku Philanthropies, with the Founder and Owner, Alvan Azinna Chibuzo Ikoku, as well as with its aforementioned official persons, you accept and agree to the following:

Termination
— With respect to termination or your activity, communication, and other use pertaining to the Products and Services, as well as the governing Terms, you accept and agree to the following:

No Waiver of Right
— Any failure on the part of The Ikoku Philanthropies or The Ikoku Group to enforce or insist on strict performance of any of the provisions of the Terms, the User Agreement and Code of Conduct, or the Codes and Policies will not constitute or operate as a waiver of any default or failure of performance or right of The Ikoku Philanthropies or The Ikoku Group.
Relief and Remedy
— If in interpreting, reading, or otherwise applying or enforcing any provision of the Terms, the User Agreement and Code of Conduct, or the Codes and Policies an issue is brought forth or claimed and a determination is sought that asks for, results in, or implicates, in any way, assets, damages, interests, properties, relief of an injunctive, remunerative or substantive nature, or other equivalent award against The Ikoku Philanthropies or the Founder — to be done solely via a court or tribunal of competent jurisdiction — the following shall also be adhered to:

Severability
— If any provision of the Terms, the User Agreement and Code of Conduct, or the Codes and Policies is held unenforceable — to be done solely by a court or tribunal of competent jurisdiction — the following shall also be adhered to:

Governing Law /Jurisdiction
— The laws of the United States, and in particular, the State of Delaware shall govern with respect to all issues arising out of the Products and Services, the Terms and the Codes and Policies.
— By visiting or using the Products and Services, you agree to the exclusive jurisdiction of State and Federal courts in the United States and in Delaware, in all matters arising out of or relating to these Terms, the Codes and Policies, and the visit or use of the Products and Services.
— If accessing the Products or Services from another jurisdiction other than the US, you agree to comply with all applicable US laws.
Updates and Keeping Informed
— By continuing to engage in activity with, within, for, on behalf of, in reference to, and otherwise pertaining to The Ikoku Philanthropies, and by continuing to visit and use the Products and Services, you indicate that you understand that The Ikoku Philanthropies reserves the right to update these Terms and any of our other Codes and Policies from time to time, and at any time, and that The Ikoku Philanthropies encourages you to check back periodically to review the most current, updated version of the Terms and Codes and Policies. As a person or entity engaging in any activity with, within, for, on behalf of, in reference to, and otherwise pertaining to The Ikoku Philanthropies, or a visitor or user of the Products or Services, it remains your responsibility to keep informed about such posted changes.
